Terms and Conditions

DEFINITIONS

In these terms and conditions, the following definitions apply:
a) “Woodland”: Refers to Woodland Flooring Ltd.
b) “You/Your”: The individual(s) or company(ies) named as the customer overleaf.
c) “Flooring”: Refers to the wood flooring and other materials described overleaf or as specified in any written variation following a sub-floor survey by Woodland.
d) “Installation”: The process of installing or fitting the wood flooring.
e) “Installation Date”: The commencement date for the wood flooring installation.
f) “Premises”: The site (or part thereof) where installation is to occur.

GENERAL

1.1. All sales between Woodland and the buyer are governed by these Terms and Conditions of Sale. In the event of any conflict between these Conditions and any terms put forward by the Buyer, Woodland’s Conditions shall prevail.
1.2. Should you cancel this Agreement after Woodland has ordered the Flooring, Woodland reserves the right to retain any monies paid upon acceptance of this Agreement, without prejudice to other rights arising from your cancellation.
1.3. Woodland shall not be liable for any loss caused by circumstances beyond its control, including but not limited to weather conditions, government regulations, acts of war, or industrial actions.
1.4. Woodland may assign its rights and obligations under this Agreement to a third party or engage a third party to fulfil its obligations.
1.5. Woodland reserves the right to terminate this Agreement if the Buyer becomes insolvent or commits an act of bankruptcy.

PAYMENTS

2.1. By accepting this Agreement, you agree to pay Woodland the outstanding fees as specified on the invoice unless otherwise agreed in writing.
2.2. Woodland is entitled to retain the ordered products until full payment has been made.
2.3. You agree to pay Woodland against its invoice(s) as follows:
i. 100% of the invoice total upon acceptance of this Agreement.
ii. Additional costs for any extra works requested by you or deemed necessary after acceptance of the quotation, as invoiced by Woodland.
2.4. Woodland will deliver the Flooring to the Premises only after all payments under clauses 2.3(i) and (ii) have been paid in full.
2.5. Woodland is not obliged to deliver the Flooring or commence Installation until all payments due under 2.3(i) and (ii) have been made.
2.6. All prices, extras, and wasted attendance charges are subject to VAT at the prevailing rate on the date they are invoiced.
2.7. Overdue accounts will incur interest at a rate of 5% above Barclays Bank’s base rate per month or part thereof.
2.8. In the event of court proceedings, all related costs will be the responsibility of the Buyer.

PRICES

3.1. Prices for the products will be as quoted in writing, on our website, or as published from time to time. We take reasonable care to ensure the accuracy of prices; however, in the event of an error, please refer to clause 15.4 for further action.

WOOD FLOORING PRODUCTS

4.1. Samples and images in our catalogues, website, or brochures are representations only and do not form part of the contract.
4.2. Due to the natural properties of wood, finishes may change colour over time. Woodland does not guarantee that the product colour or finish will remain unchanged.
4.3. Variations in wood colour and markings are natural. Woodland cannot guarantee exact matches to samples.
4.4. Wood is susceptible to expansion and contraction due to temperature and moisture variations. Woodland accepts no liability for such issues post-delivery.
4.5. All wood flooring products are custom made to customer specifications.
4.6. Variations in moisture content, tongue and groove profiles, and wood consistency are to be expected and are not guaranteed.

DELIVERY AND COLLECTION

4.7. If opting out of our delivery service, collection must occur within 30 days of notification. Failure to collect will result in storage charges and potential termination of the agreement.
4.8. A provisional delivery date will be provided upon agreement acceptance.
4.9. Delivery will not occur until full payment is received.
4.10. In the absence of an authorised recipient, an additional fee will be charged, and re-stocking charges may apply if the order is subsequently cancelled.
4.11. Woodland is not responsible for the safety of delivered products post-delivery.
4.12. You must inspect the products immediately upon delivery and notify Woodland of any defects within two business days.
4.13. Delivery dates and times are approximate; Woodland accepts no liability for delays.
4.14. No claims can be made on installed flooring.
4.15. You must notify Woodland of any defects within two business days of delivery.
4.16. Lead times for delivery from the manufacturer range from 2 to 6 weeks.
4.17. Deliveries occur Monday through Friday, 9:00 a.m. to 6:00 p.m.

INSTALLATION DATE

4.18. Woodland will provide an Installation date following a sub-floor inspection.
4.19. Changes to the Installation date must be communicated at least 12 days in advance.
4.20. Woodland is not liable for any loss due to changes in the Installation date.
4.21. Woodland is not liable for delays in delivering Flooring or starting Installation.

INSTALLATION

4.22. You must follow all instructions and warnings issued by Woodland or the manufacturer during installation.
4.23. A sub-floor survey is required to determine the installation price and necessary works.
4.24. Ensure the quotation includes all required works before accepting the agreement.
4.25. You are responsible for any preparatory works required according to British Standards or due to the condition of the premises.
4.26. Additional works identified during the initial inspection are your responsibility unless delegated to Woodland.
4.27. Defective, damp, or un-level sub-floors will prevent proper installation.
4.28. Sub-floor preparation is your responsibility or can be delegated to Woodland or another contractor.
4.29. Notify Woodland upon completion of sub-floor preparation for inspection and testing.
4.30. Confirmation in writing is required for sub-floor preparations not inspected by Woodland.
4.31. Woodland tests sub-floor screeds for moisture/RH but accepts no liability for failures post-installation.
4.32. Rooms must be cleared and meet temperature and humidity requirements before Installation.
4.33. Failure to meet sub-floor or room conditions will result in cancellation and a £200 fee.
4.34. Installation will not commence until sub-floors are properly prepared and rooms are cleared.

INSTALLATION PROCESS

4.35. Provide an accessible electric power source during Installation.
4.36. Interruptions causing delays will incur a £200 per day charge.

ACCEPTANCE OF THE INSTALLATION

4.37. You or your agent must be present to accept the installed Flooring.
4.38. Woodland is not liable for surface damage post-installation.
4.39. Absence during completion will result in deemed acceptance of the installation.

GUARANTEE

5.1. Woodland guarantees apply only to Flooring installed by Woodland personnel.
5.2. No guarantee or replacement is provided for supply-only orders.
5.3. A 25-year guarantee against wear through the hardwood layer is provided for domestic use, subject to maintenance guidelines.
5.4. Guarantees do not cover normal wear, mechanical damage, or damage caused by external factors.
5.5. Guarantees do not cover contraction, expansion, or damage from temperature, humidity, spillages, or damp.
5.6. Guarantees do not cover non-Woodland installations.
5.7. Liability under the guarantee is limited to replacing worn-out Flooring.
5.8. Guarantees do not affect statutory rights.

RETURNS AND REPLACEMENT

5.9. Woodland does not accept returns for custom-made/bespoke products.
5.10. Damaged/defective products will be replaced if notified within 48 hours of delivery.
5.11. Delivery charges are non-refundable.
5.12. Custom-made products are exempt from the “Consumer Contracts Regulations 2013” right to change your mind within 14 days.

ACCEPTANCE OF “TERMS AND CONDITIONS”

5.14. All contracts subject to these Conditions are governed by English law, and the Buyer agrees to submit to the non-exclusive jurisdiction of the English Courts for any disputes.
5.15. The date of acceptance is the invoice issue date sent with this agreement.
5.16. By making part or full payment, you confirm that you have read, understood, and accepted these terms and conditions.
